Registered Agent Forms in Hawaii

Formation and Registration Forms Requiring Registered Agent Designation in Hawaii

Hawaii business entity filings are administered by the Business Registration Division (BREG) of the Department of Commerce and Consumer Affairs (DCCA). All registration forms are organized by entity type on the BREG registration page. Filings may be submitted online through Hawaii Business Express, by email to breg-doci-filing@dcca.hawaii.gov, by mail to P.O. Box 40, Honolulu, HI 96810, by fax to (808) 586-2733, or in person at 335 Merchant Street, Room 201, Honolulu, HI 96813. The division’s telephone number is (808) 586-2727, and general inquiries may be directed to breg@dcca.hawaii.gov.

LLCs

A domestic limited liability company must designate a registered agent with a Hawaii street address on its Articles of Organization. A foreign LLC transacting business in the state must include the same designation on its Application for Certificate of Authority. A nonrefundable State Archives preservation fee of $1.00 applies to each filing.

Form Description Filing Fee
Articles of Organization for Limited Liability Company (Form LLC-1) Formation of a domestic LLC; requires registered agent name and Hawaii street address $50.00
Application for Certificate of Authority (Form FLLC-1) Registration of a foreign LLC; requires registered agent name and Hawaii street address $50.00

A foreign LLC that transacts business in Hawaii without first obtaining a certificate of authority is subject to a penalty of $25.00 per month for each member or manager during the period of noncompliance.

Corporations

Domestic profit corporations, professional corporations, and sustainable business corporations each file a distinct Articles of Incorporation, all of which contain a dedicated field for registered agent designation. Foreign profit corporations register by filing an Application for Certificate of Authority bearing the form designation FC-1, published separately from the identically numbered foreign nonprofit version.

Form Description Filing Fee
Articles of Incorporation (Form DC-1) Formation of a domestic profit corporation; requires registered agent name and Hawaii street address $50.00
Articles of Incorporation for a Professional Corporation (Form PC-1) Formation of a domestic professional corporation; requires registered agent designation $50.00
Articles of Incorporation for a Sustainable Business Corporation (Form SBC-1) Formation of a domestic sustainable business corporation; requires registered agent designation $50.00
Application for Certificate of Authority for Foreign Corporation (Form FC-1) Registration of a foreign profit corporation; requires registered agent designation $50.00

Nonprofit Corporations

Domestic nonprofit corporations file Articles of Incorporation at a lower fee than for-profit entities. Foreign nonprofit corporations file a separate Application for Certificate of Authority that carries the same FC-1 form number as its profit counterpart but is published as a distinct document with a reduced filing fee.

Form Description Filing Fee
Articles of Incorporation (Form DNP-1) Formation of a domestic nonprofit corporation; requires registered agent designation $25.00
Application for Certificate of Authority for Foreign Nonprofit Corporation (Form FC-1) Registration of a foreign nonprofit corporation; requires registered agent designation $25.00

Limited Partnerships

A domestic limited partnership comes into existence upon filing a Certificate of Limited Partnership, which must include the name and Hawaii street address of a registered agent. A foreign limited partnership registers through a separate Application for Certificate of Authority. Hawaii also recognizes the limited liability limited partnership (LLLP), formed by electing LLLP status on the same LP-1 form rather than through a separate filing.

Form Description Filing Fee
Certificate of Limited Partnership (Form LP-1) Formation of a domestic LP or LLLP; requires registered agent designation $25.00
Application for Certificate of Authority for Foreign Limited Partnership (Form FLP-1) Registration of a foreign LP or LLLP; requires registered agent designation $50.00

Limited Liability Partnerships

A domestic general partnership obtains LLP status by filing a Statement of Qualification rather than by forming a new entity. The filing must include a registered agent designation. A foreign LLP files a Statement of Foreign Qualification at a higher fee. Because an LLP is an extension of a general partnership, many BREG filings for LLPs require the general partnership fee to be paid in addition to the LLP-specific fee.

Form Description Filing Fee
Statement of Qualification (Form LLP-1) Qualification of a domestic LLP; requires registered agent designation $25.00
Statement of Foreign Qualification (Form FLLP-1) Registration of a foreign LLP; requires registered agent designation $50.00

General Partnerships

A general partnership exists by operation of law and does not require a filing to come into existence. However, a domestic or foreign general partnership may voluntarily file a Registration Statement for Partnership to establish a public record. The registration statement requires designation of a registered agent.

Form Description Filing Fee
Registration Statement for Partnership (Form GP-1) Voluntary registration of a domestic or foreign general partnership; requires registered agent designation $15.00

Changing a Hawaii Registered Agent or Registered Office (Filed by Entity)

A business entity seeking to replace its current registered agent or update the agent’s office address files the Statement of Change of Registered Agent By Entity. This single form covers every entity type that BREG administers — profit and nonprofit corporations, LLCs, limited partnerships, LLLPs, general partnerships, and LLPs — and applies to both domestic and foreign entities. Item 5 of the form constitutes the entity’s affirmation that the newly appointed agent has consented to serve. Filing methods are the same as described above.

Form Description Filing Fee
Statement of Change of Registered Agent By Entity (Form X-7) Filed by the entity to appoint a new registered agent or change the agent’s Hawaii address; applies to all entity types $25.00 per entity ($1.00 per entity when 201 or more are filed simultaneously)

For a limited liability partnership, the $25.00 fee is assessed together with an additional $25.00 general partnership fee, for a total of $50.00.

Changing a Hawaii Registered Agent’s Own Name or Address (Filed by Agent)

Hawaii maintains two separate forms for agent-initiated changes, distinguished by whether the filer is a noncommercial or commercial registered agent. A noncommercial agent that has changed its own name or relocated its Hawaii office files Form X-8 on a per-entity basis. A commercial registered agent files Form X-14, which applies simultaneously to every entity the agent represents in a single filing. Both forms require the agent to furnish each affected entity with prompt written notice of the changes. Filing methods are the same as described above.

Form Description Filing Fee
Statement of Change of Noncommercial Registered Agent’s Name or Business Address (Form X-8) Filed by a noncommercial registered agent to update its own name or Hawaii address for a single represented entity $25.00 per entity ($1.00 per entity when 201 or more are filed simultaneously)
Statement of Change By Commercial Registered Agent (Form X-14) Filed by a commercial registered agent to update its name, address, entity type, or jurisdiction for all represented entities at once $25.00 per entity ($1.00 per entity when 201 or more are filed simultaneously)

For an LLP, each per-entity fee is accompanied by an additional $25.00 general partnership fee, bringing the total to $50.00 per entity.

Registered Agent Resignation and Rejection Forms in Hawaii

A registered agent that no longer intends to represent an entity files the Statement of Resignation of Registered Agent. The resignation takes effect on the earlier of the thirty-first day after BREG files the statement or the date the represented entity appoints a successor agent. A commercial registered agent that wishes to end its listed status entirely files the Commercial Registered Agent Termination Statement, which applies across all represented entities. The Commercial Registered Agent Listing Statement is included in the table below because it establishes the commercial agent designation that governs how termination and change processes function. Hawaii does not publish a separate form for rejecting an appointment. Filing methods are the same as described above.

Form Description Filed By Filing Fee
Statement of Resignation of Registered Agent (Form X-9) Resignation as registered agent of a specified entity Registered Agent $25.00 per entity ($1.00 per entity when 201 or more are filed simultaneously)
Commercial Registered Agent Termination Statement (Form X-13) Terminates the commercial registered agent listing for all represented entities Commercial Registered Agent $25.00
Commercial Registered Agent Listing Statement (Form X-11) Registers an individual or entity as a commercial registered agent in Hawaii Applicant $100.00

A resigning agent must deliver written notice of the resignation to the represented entity at its last known address. For an LLP, the resignation filing fee is $25.00 plus a $25.00 general partnership fee, totaling $50.00.

Reinstatement Forms Requiring Registered Agent Information in Hawaii

A domestic entity that has been involuntarily dissolved, cancelled, revoked, or administratively terminated may apply for reinstatement within two years of the effective date of termination. The Application for Reinstatement must be accompanied by all delinquent annual reports or statements — which contain the entity’s current registered agent designation — a tax clearance certificate from the Hawaii Department of Taxation, and payment of all outstanding fees and penalties. Filing methods are the same as described above.

Form Description Filing Fee
Application for Reinstatement (Form X-4) Reinstatement of a domestic entity after involuntary termination; must be filed with delinquent annual reports containing registered agent information Profit Corporation: $25.00; Nonprofit Corporation: $10.00; LLC: $25.00; LLP: $25.00 (plus $10.00 GP fee); LP: $10.00; LLLP: $10.00; General Partnership: $10.00

Foreign entities are not eligible for reinstatement. A foreign entity whose registration has been terminated must file a new Application for Certificate of Authority to resume transacting business in Hawaii.

Conversion Forms Requiring Registered Agent Designation in Hawaii

Hawaii provides a single universal form for entity-type conversions encompassing all combinations of profit corporations, nonprofit corporations, professional corporations, LLCs, general partnerships, limited partnerships, LLPs, and LLLPs. When the converted entity is foreign, an attached Appointment of Agent for Service of Process page must be completed with the agent’s name and Hawaii street address. When the converted entity is domestic, the appropriate formation document — which itself includes a registered agent field — must be filed simultaneously with the conversion articles. Filing methods are the same as described above.

Form Description Filing Fee
Articles of Conversion (Form X-10) Universal conversion form for all entity types; foreign converted entities complete the attached agent-appointment page; domestic converted entities file formation documents simultaneously $100.00 (profit entities); $50.00 (nonprofit entities)

Transfer and Merger Forms Requiring Registered Agent Information in Hawaii

The Articles of Merger contain a dedicated section (Item 5) that requires the surviving entity to state its registered agent’s name, entity type or individual status, and Hawaii street address. The form accommodates mergers involving any combination of entity types, including profit and nonprofit corporations, professional corporations, LLCs, general partnerships, limited partnerships, LLPs, and LLLPs. Filing methods are the same as described above.

Form Description Filing Fee
Articles of Merger (Form X-12) Merger of two or more entities; Item 5 requires registered agent name and Hawaii street address for the surviving entity $100.00 (profit entities); $50.00 (nonprofit entities)

When the surviving entity is an LLP registered in Hawaii, the profit-entity merger fee of $100.00 is assessed together with a $100.00 general partnership fee, for a combined total of $200.00.

FAQ

Where can I find all current Hawaii Secretary of State business forms?

All Hawaii business registration forms are published by the DCCA Business Registration Division on its registration page. The page is organized by entity type, with each category containing downloadable forms, filing instructions, information sheets, and a link to the applicable fee schedule.

The online filing portal, Hawaii Business Express, supports a wide range of common filings and provides tools for checking filing status, viewing annual report deadlines, and purchasing documents. A complete list of forms that may be submitted electronically is published on the What BREG forms can I file online? page.

Is the registered agent consent form required to be filed with the Hawaii Secretary of State?

Hawaii does not use a separate, standalone registered agent consent form. Consent to serve is embedded within the filing documents themselves.

On Form X-7 (Statement of Change of Registered Agent By Entity), Item 5 states that the appointment of a registered agent constitutes an affirmation by the entity that the newly designated agent has consented to serve. Formation and registration forms similarly incorporate the agent designation without requiring a separate consent document to be attached, filed, or retained by the entity.

What form is used to change a registered agent in Hawaii?

The Statement of Change of Registered Agent By Entity (Form X-7) is the filing a business entity uses to appoint a new registered agent or update its agent’s Hawaii address. The fee is $25.00 per entity, reduced to $1.00 per entity when 201 or more statements are filed simultaneously. For an LLP, an additional $25.00 general partnership fee applies, bringing the total to $50.00.

Form X-7 may be filed online through Hawaii Business Express, by email to breg-doci-filing@dcca.hawaii.gov, by mail to P.O. Box 40, Honolulu, HI 96810, by fax to (808) 586-2733, or in person at 335 Merchant Street, Room 201, Honolulu, HI 96813. For assistance, contact BREG at (808) 586-2727 or breg@dcca.hawaii.gov.

What is the difference between the entity-filed change form and the agent-filed change form in Hawaii?

Form X-7 is filed by the business entity itself and is used to appoint a different registered agent or update the agent’s address. The filing includes the entity’s affirmation that the new agent has consented to serve. Each Form X-7 applies to a single entity.

Form X-8 is filed by a noncommercial registered agent to update its own name or Hawaii business address. The agent must file one Form X-8 per represented entity, and the change affects only the entity named on the form. The agent is required to promptly furnish the represented entity with written notice of the filed change.

Form X-14 is filed by a commercial registered agent and serves the same purpose as Form X-8, but a single filing takes effect simultaneously across every entity the commercial agent represents. This makes Form X-14 substantially more efficient for agents serving large numbers of entities. The commercial agent must provide each represented entity with written notice of the changes.

Is there a fee to form a nonprofit corporation in Hawaii?

The filing fee for Articles of Incorporation for a domestic nonprofit corporation (Form DNP-1) is $25.00, compared to $50.00 for a domestic profit corporation (Form DC-1). Both fees are nonrefundable, and a State Archives preservation fee of $1.00 applies to each filing.

Expedited review is available for an additional $25.00. Online filings submitted through Hawaii Business Express may include a convenience fee. The complete nonprofit corporation fee schedule is published on the domestic nonprofit fees page.

What forms are used to register an out-of-state LLC in Hawaii?

A foreign LLC registers by filing the Application for Certificate of Authority (Form FLLC-1) with a filing fee of $50.00. The form requires designation of a registered agent with a street address in Hawaii and must be accompanied by an original certificate of good standing from the LLC’s jurisdiction of formation, dated no more than sixty days before filing.

A State Archives preservation fee of $1.00 applies, and expedited review costs an additional $25.00. A foreign LLC that transacts business in Hawaii without first obtaining a certificate of authority is subject to a penalty of $25.00 per month for each member or manager during the period of noncompliance.

What forms are used to form or register a partnership in Hawaii?

A domestic limited partnership is formed by filing a Certificate of Limited Partnership (Form LP-1) at $25.00, which creates the LP as a legal entity and requires a registered agent designation. A foreign LP registers with an Application for Certificate of Authority for Foreign Limited Partnership (Form FLP-1) at $50.00.

A domestic general partnership may voluntarily file a Registration Statement for Partnership (Form GP-1) at $15.00, which establishes a public record and requires a registered agent. Unlike the LP certificate, this filing does not create the partnership; the partnership exists by operation of law based on the partners’ agreement.

A domestic partnership seeking limited liability status files a Statement of Qualification (Form LLP-1) at $25.00. This registration does not form a new entity but confers limited liability protection on the existing partnership’s partners. A foreign LLP files a Statement of Foreign Qualification (Form FLLP-1) at $50.00. Both LLP filings require a registered agent designation.

Hawaii recognizes the limited liability limited partnership (LLLP), which is formed using the same LP-1 form by electing LLLP status; no separate LLLP formation document exists. A foreign LLLP registers using Form FLP-1. There is no dual-filing requirement for an LLLP in Hawaii.

Can I file Hawaii SOS forms online?

Hawaii Business Express supports a broad range of BREG filings. Entity formation and registration forms available online include Form LLC-1, Form DC-1, Form DNP-1, Form FLLC-1, Form FC-1, Form LP-1, Form LLP-1, Form GP-1, Form FLP-1, and Form FLLP-1.

No account is required for basic filings, though creating an account allows filers to track submission status and manage annual report deadlines.

Expedited review is available for an additional $25.00 on most filings. Credit cards (Visa, MasterCard, Discover, American Express, Diners Club, and JCB) are accepted for online, email, and fax submissions. Mailed and walk-in filings accept payment by check or money order made payable to the Department of Commerce and Consumer Affairs; a $25.00 fee applies for dishonored checks.
